Terms of Service
The short version
- You pay monthly per store and can cancel any time. There is no long contract.
- Your store data is yours. You can export it, and we use it only to run the service for you.
- You are responsible for running your business legally, including your licences, taxes and age checks.
- We work hard to keep Plaineos running, but we can't promise it will never go down.
1. The agreement
These terms are an agreement between Plaineos ("Plaineos", "we", "us") and the business that signs up ("you"). By creating an account or using Plaineos, you agree to them. The person who signs up confirms they are allowed to accept these terms for the business. Plaineos is for businesses, not for personal or household use.
2. The service
Plaineos is an online point of sale and store management service, used in a web browser. Your plan decides which features you have. We may improve, change or remove features over time. If we remove something important from your plan, we'll tell you at least 30 days before.
3. Your account
- Give us correct information and keep it up to date.
- Keep passwords private. You are responsible for what happens under your account and your staff logins.
- You decide who on your team gets a login and what their role can do.
- Tell us right away at support@plaineos.com if you think someone has used your account without permission.
4. Plans, fees and billing
- Fees are charged per store, per month, in Canadian dollars, plus applicable taxes (GST, HST, PST or QST), as shown on our pricing at the time you subscribe.
- You are billed in advance each month, and you can add or remove stores at any time. Changes take effect on your next bill.
- If a payment fails, we'll tell you and try again. If it is still unpaid after 14 days, we may limit your account to reading and exporting until it is paid.
- We may change prices with at least 30 days' notice by email. The new price applies from your next billing period after the notice.
- Fees already paid are not refunded, except where the law requires or these terms say otherwise. If you cancel, you keep access until the end of the month you paid for.
5. Your data
- You own the data you put into Plaineos, including products, sales, staff and customer records.
- You give us permission to store and process it only to provide, secure and support the service, as our Privacy Policy describes.
- You can export your data while your account is active and for 30 days after it ends. After that we may delete it.
- We may use information that has been made anonymous and combined across many businesses, so that no business or person can be identified, to measure and improve the service.
- You are responsible for having the right to collect the personal information you store, for telling your customers and staff how you use it, and for getting consent where the law requires it, for example before sending marketing emails under CASL.
6. Your business and the law
You are responsible for running your business lawfully, including:
- holding and keeping any licences your business needs, such as cannabis, tobacco or lottery licences,
- checking customers' age where the law requires it,
- charging, collecting and sending in the right sales taxes,
- following product, pricing, labelling and record-keeping rules for your industry and province.
Plaineos gives you tools to help, such as tax settings and reports, but you must check that your settings and records meet the rules that apply to you. Plaineos does not give legal, tax or accounting advice.
7. Acceptable use
You and your staff must not:
- use Plaineos for anything illegal or to sell products you are not allowed to sell,
- try to get into another business's data, test our security without written permission, or get around limits in the service,
- overload the service, copy it, or resell it without our written agreement,
- upload harmful code or material that infringes someone else's rights.
8. Hardware and other services
Printers, scanners, card terminals, websites and other services you connect to Plaineos are provided by other companies under their own terms. We are not responsible for them, but we'll do our best to help you set them up. Card payments, if available, are processed by a separate payment provider under its own agreement with you.
9. Availability and support
We aim to keep Plaineos available all day, every day, and we schedule maintenance outside normal store hours where we can. We don't guarantee it will always be available or error-free, because the internet, devices and outside providers can fail. Support is by email at support@plaineos.com and through the help inside the app, and we aim to reply within one business day (Monday to Friday, Central Time).
10. Our intellectual property
Plaineos, its software, design and name belong to us. You get a non-exclusive right to use the service for your business while your subscription is active. If you send us ideas or feedback, we may use them without owing you anything.
11. Cancelling and ending the agreement
- You can cancel at any time from your account settings or by emailing support@plaineos.com. Your account stays active until the end of the month you've paid for.
- We may suspend or end your account if you seriously break these terms, don't pay, or put the service or other businesses at risk. Where we can, we'll warn you first and give you time to fix the problem.
- If we decide to stop offering Plaineos, we'll give you at least 90 days' notice and time to export your data.
12. Warranties and limits on liability
Except as these terms say, Plaineos is provided "as is" and "as available". To the extent the law allows, we don't make any other promises, including that the service will suit a particular purpose.
To the extent the law allows, we are not liable for lost profits, lost sales, lost data or indirect or consequential losses. Our total liability for any claim relating to Plaineos is limited to the fees you paid us in the 12 months before the claim.
Nothing in these terms limits liability that cannot be limited by law.
13. Indemnity
If someone makes a claim against us because of the data you stored, the way you ran your business, or because you broke these terms or the law, you'll cover our reasonable costs and losses from that claim.
14. Changes to these terms
We may update these terms. For important changes we'll email the account owner at least 30 days before they take effect. If you don't agree, you can cancel before then. Continuing to use Plaineos after that date means you accept the new terms.
15. Law and general terms
- These terms are governed by the laws of Manitoba and the federal laws of Canada that apply there. Any dispute will be heard in the courts of Manitoba, in Winnipeg.
- If part of these terms can't be enforced, the rest still applies.
- These terms, the Privacy Policy and your plan details are the whole agreement between us about Plaineos.
- You can't transfer this agreement without our written consent. We may transfer it as part of a sale or reorganisation of our business.
- We are not responsible for delays caused by events outside our reasonable control, such as power or internet outages, natural disasters or failures of our providers.
- Notices to you go to the account owner's email. Notices to us go to hello@plaineos.com.
